• the disposal by Emperor Mines Limited, a subsidiary of DRDGOLD, of its indirect 20% interest in the Porgera Joint Venture to a subsidiary of Barrick Gold Corporation for a purchase consideration of US$250 million; and
• the grant of an option to Barrick to subscribe for 153 325 943 shares in Emperor;

and incorporating
